Anglogold Limited: Information memorandum
This information memorandum is provided to the Australian Stock Exchange (ASX) in connection with
the application by Anglogold Limited (AngloGold) for general admission and quotation on ASX.
In connection with that pplication, each director of AngloGold confirms as follows:
The Part A Statement of AngloGold Investments Australia Pty Ltd in respect of shares in Acacia
Resources Limited contains all information that would be required under section 1022 of the
Corporations Law if this information memorandum were a registrable prospectus offering for
subscription ordinary shares in AngloGold. However, this information memorandum is not a
prospectus within the meaning of the Corporations Law.
No director of AngloGold has any interest now, or has had in the 2 years prior to this information
memorandum, in the promotion of AngloGold (other than in their individual capacity as directors
of or shareholders in AngloGold) or in the property acquired or proposed to be acquired by it.
This information memorandum is signed by Robert M. Godsell, Chief Executive Officer and
Director of AngloGold, on his own behalf and in his capacity as duly authorised agent for each
other director of AngloGold as at the date of this information memorandum. There are no proposed
directors of AngloGold.
ASX does not take any responsibility for the contents of this information memorandum.
The fact that ASX may admit AngloGold to its official list is not to be taken in any way as an
indication of the merits of AngloGold.
In respect of those statements in the Part A Statement that are made by or based on a statement
made by Ernst & Young, that firm has given and not withdrawn its consent to the issue of the
Part A Statement.
A supplementary information memorandum will be issued by AngloGold if it becomes aware of
any of the following between the date of this information memorandum and the date that
AngloGold s securities are quoted:

material statement in the information memorandum is false or misleading;
|
| (b)
|
there is a material omission from the information memorandum;
|
| (c)
|
there has been a significant change affecting a matter included in the information
memorandum;
|
| (d)
|
a significant new matter has risen and it would have been required to be included in the
information memorandum.
